These Terms of Service ("Terms") govern your access to and use of the website operated by Golden Triangle Atias LLC ("Ironvault", "we", "our", or "us") at ironvaultusa.com and any related services or wholesale arrangements. By using the site or doing business with us, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and authorized to bind the entity you represent. Our wholesale program is offered only to qualified retail businesses operating in the United States.

2. Use of the Site

You may use this site for lawful, informational, and commercial purposes related to our products and the wholesale program. You agree not to:

• Reproduce, copy, or republish content from the site without our written permission.
• Reverse-engineer, scrape, or otherwise abuse our infrastructure.

4. Wholesale Program

The wholesale and outlet partnership program is governed by a separate written agreement that supersedes these Terms with respect to pricing, minimum orders, payment terms, and product warranties. Acceptance into the program is at our sole discretion and is subject to credit, retail-format, and territory review.

Pricing, minimum order quantities, lead times, and other commercial terms communicated through line sheets, quotations, or proposals are confidential and may not be shared outside your organization without our prior written consent.

5. Product Information

We make commercially reasonable efforts to ensure that product descriptions, specifications, dimensions, weights, materials, and images are accurate. Minor variations are normal and do not constitute a defect. Specifications are subject to change without notice; the line sheet in effect at the time of order acceptance controls.

6. Warranty

Ironvault products carry a 10-year limited warranty covering manufacturing defects in shells, frames, wheels, and handles under normal use. Full warranty terms, claim procedures, and remedies are provided with each product and on request.

EXCEPT AS EXPRESSLY PROVIDED IN A WRITTEN WARRANTY, OUR PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOLDEN TRIANGLE ATIAS LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR OUR PRODUCTS. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

8. Indemnification

You agree to indemnify and hold harmless Golden Triangle Atias LLC from any third-party claim arising from your breach of these Terms, your use of the site, or your misuse of our products or brand.

9. Privacy

Use of the site is also governed by our Privacy Policy, which is incorporated by reference into these Terms.

10. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles. Any dispute arising from or related to these Terms or your use of the site shall be brought exclusively in the state or federal courts located in Ventura County, California, and you consent to the personal jurisdiction of those courts.

11. Changes to the Terms

We may revise these Terms from time to time. The revised Terms become effective when posted. Your continued use of the site after revisions constitutes acceptance of the new Terms.

12. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy and any executed wholesale or partnership agreement, constitute the entire agreement between you and Golden Triangle Atias LLC regarding the site and supersede any prior agreements regarding its subject matter.
